General queries
An American Depositary Receipt (ADR) is a receipt representing ordinary or common shares of a non-U.S. company security that trades in the US. As ADRs are priced in U.S. dollars, investors can buy ADRs in the same way as they purchase or sell shares of U.S. securities.
Pearson has a sponsored level 2 ADR program, which is administered by J P Morgan Chase Bank N.A. (JP Morgan), our depositary bank.
Pearson’s ordinary shares are listed on the New York Stock Exchange in the form of American Depositary Shares (ADSs), evidenced by ADRs. Each ADS represents one ordinary share.
The terms ADR and ADS are often used interchangeably.
Pearson’s ordinary shares are listed on the New York Stock Exchange and traded under the symbol ‘PSO’.
Pearson is subject to the reporting requirements of the Securities and Exchange Commission (SEC) in the USA, as such requirements apply to foreign companies, and files with the SEC an Annual Report on Form 20-F. The Pearson Annual Report on Form 20-F for the year ended 31 December 2023 can be found by visiting the SEC’s website or downloaded below.

The company will send a paper copy of its Form 20-F, free of charge, to any ADR holder upon request. In order to request a paper copy, please contact the Company Secretary.
ADR holders are generally entitled to the same rights as the underlying shareholders, subject to the terms specified in the Deposit Agreement on file with the SEC.

Pearson investors can elect to have their dividends paid to them:
- via ACH (Direct Deposit);
- reinvest the dividend payment to purchase more ADR’s; or
- receive a cheque (by US mail).

If you are a first-time user, you will need to validate your account. You can do this by using either your social security/taxpayer number or your account number and providing the requested additional information.
